Seller Agreement

1. Introduction

This Seller Agreement ("Agreement") is a contract between you ("Seller," "you," or "your") and 406 MT Makers ("we," "us," or "our") that governs your use of our marketplace platform to sell products. By registering as a seller on our platform, you agree to be bound by this Agreement, our Terms of Use, and our Privacy Policy.

2. Eligibility Requirements

To become a seller on 406 MT Makers, you must:

  • Be at least 18 years of age
  • Be a resident of Montana or operate a Montana-based business
  • Sell products that are handmade, handcrafted, or produced in Montana
  • Have all necessary business licenses and permits
  • Have a valid tax identification number (EIN or SSN)
  • Maintain accurate and complete account information
  • Comply with all applicable federal, state, and local laws

A Montana-based business means primary production or operations occur within the State of Montana.

3. Product Requirements

All products listed on 406 MT Makers must meet the following criteria:

  • Montana Made: Products must be handmade, handcrafted, or produced in Montana by the seller or their employees
  • Accurate Descriptions: Product listings must accurately describe the item, materials, dimensions, and any relevant details
  • Quality Images: Photos must accurately represent the product and be owned or licensed by the seller
  • Legal Compliance: Products must comply with all applicable safety standards, labeling requirements, and regulations
  • Original Work: Products must not infringe on any intellectual property rights of third parties

Prohibited Items

The following items are prohibited from sale on our platform:

  • Weapons, firearms, or ammunition
  • Illegal drugs or drug paraphernalia
  • Counterfeit or replica items
  • Hazardous materials
  • Items that promote hate or violence
  • Adult or explicit content
  • Mass-produced or imported goods (unless significantly modified in Montana)
  • Live animals

4. Fees and Payments

Platform Fees

406 MT Makers charges the following fees for use of our platform:

  • Transaction Fee: 8% of the total sale price (excluding shipping)
  • Payment Processing Fee: 2.9% + $0.30 per transaction (charged by our payment processor)
  • Listing Fee: Free (no charge to list products)

Payment Schedule

Payments are processed and deposited to your connected bank account on a rolling basis, typically within 2-5 business days after order fulfillment. A minimum balance of $10.00 is required for payout. You are responsible for providing accurate banking information and for any fees charged by your financial institution.

We may withhold or offset future payouts to cover refunds, chargebacks, or disputes.

Taxes

Montana does not impose a state sales tax. For sales to customers in other states or countries, tax obligations vary. Currently, sellers are responsible for understanding and complying with their own tax obligations. Sellers are encouraged to consult their own tax advisor regarding sales into other jurisdictions.

At launch, Canadian buyer orders ship under a DAP (Delivered at Place) model. 406 MT Makers does not collect Canadian GST, HST, or PST at checkout; the buyer is responsible for any duties, taxes, or customs fees imposed on import. We will notify sellers before changing this policy.

We will provide you with appropriate tax documentation (such as a 1099-K) if your sales exceed IRS reporting thresholds.

5. Order Fulfillment

As a seller, you agree to:

  • Process orders within the timeframe specified in your listings
  • Ship items using reliable carriers with tracking information
  • Package items securely to prevent damage during shipping
  • Provide accurate shipping costs in your listings
  • Communicate promptly with buyers regarding order status
  • Honor your stated processing and shipping times

Failure to fulfill orders in a timely manner may result in account suspension or termination.

6. Returns and Refunds

You must establish and clearly communicate your return and refund policy in your shop settings. Your policy must, at minimum:

  • Accept returns for items that are damaged, defective, or not as described
  • Process refunds within 5 business days of receiving returned items
  • Respond to return requests within 48 hours

We reserve the right to issue refunds on your behalf in cases of non-delivery, items not as described, or seller non-responsiveness. Such refunds may be deducted from your pending balance.

7. Customer Service

You are responsible for providing customer service to your buyers, including:

  • Responding to messages within 24 hours during business days
  • Addressing questions about products, orders, and shipping
  • Resolving disputes professionally and in good faith
  • Maintaining a professional and respectful tone in all communications

8. Intellectual Property

You retain ownership of your product designs, photographs, and descriptions. By listing products on our platform, you grant us a non-exclusive, royalty-free license to use, display, and promote your content in connection with our marketplace and marketing activities. You represent and warrant that you have all necessary rights to the content you submit and that it does not infringe on any third-party intellectual property rights.

9. Account Suspension and Termination

We reserve the right to suspend or terminate your seller account for:

  • Violation of this Agreement or our Terms of Use
  • Consistently poor customer service or low ratings
  • Failure to fulfill orders or respond to buyers
  • Selling prohibited items
  • Fraudulent activity or misrepresentation
  • Intellectual property infringement
  • Any other conduct we deem harmful to buyers or our platform

Upon termination, you must fulfill all pending orders. Any pending balance will be paid out according to our standard schedule, minus any amounts owed for refunds, chargebacks, or fees.

10. Indemnification

You agree to indemnify and hold harmless 406 MT Makers, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the platform, your products, your violation of this Agreement, or your infringement of any third-party rights.

11. Limitation of Liability

To the maximum extent permitted by law, 406 MT Makers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform or any transactions conducted through it. Our total liability shall not exceed the fees paid by you to us in the twelve (12) months preceding the claim.

12. Modifications to Agreement

We may modify this Agreement at any time by posting the updated terms on our website. We will notify you of material changes via email or through your seller dashboard. Your continued use of the platform after such modifications constitutes acceptance of the updated Agreement.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Montana, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Montana.
